1. Intellectual Property Rights

All material, information and content ("Content") available on a JABN site are the property of JAIC Asia Holdings Pte Ltd ("JAH") and are protected by applicable intellectual property laws. Member is allowed to use JABN website only for the intended purposes of JABN. Member may not otherwise reproduce, sell, publish, distribute, modify, display, or use all or part of JABN website or the Content without the prior written permission of JAH.

2. Fees

Member's registration and use of JABN shall be in accordance with any and all procedures, forms, formats, displays and operating times which may be determined, specified or modified by JAH in its discretion. JAH CHARGES NO FEE FOR THE MEMBERSHIP AT THIS MOMENT, HOWEVER RESERVES THE RIGHT TO IMPOSE OR MODIFY FEES IN CONNECTION WITH USE OF JABN WEBSITE AT ANY TIME WITHOUT LIABILITY. JAH shall endeavor to issue a general notice on JABN website with regard to any changes on fees or modifications to JABN website.

3. Password Security

Member shall keep Member's password confidential and shall be responsible for any and all damages arising from the use of the Member's password by another person.

4. Linking

Member shall not link any other website to JABN website without the prior written permission of JAH. No such link shall be made to any page or frame of JABN website except to the top page of the JABN website (http://www.apbiotech-japan.com). In addition, any link to JABN website must be immediately notified to JAH. Moreover, in the event JAH deems Member's linking practices in relation to the JABN website to be inappropriate, JAH may provide notice to the Member concerning removal or modification of the inappropriate link, and Member agrees to comply with any and all requirements of JAH relating thereto.

5. Authority of Website Administrator

JAH may in its discretion modify, edit, translate, suspend, restrict access to or terminate JABN website, these terms and conditions, the Content or any link at any time without liability or prior notice. JAH may in its discretion terminate the browsing of, registration with and use of JABN website at any time without liability or prior notice for any reason. Member's continued use of JABN website subsequent to JAH's notice of modification of these terms and conditions shall constitute Member's acceptance of the modified terms and conditions. If any provision of these terms and conditions is held to be invalid or unenforceable for any reason, remaining provisions shall remain in full force and effect. Member's obligations pursuant to these terms and conditions shall survive termination of JABN website, any use by Member of JABN website.

6. Import / Export Control

Member shall not submit any Content to this website or conduct any technology transaction through the JAH program in violation of applicable import/export control, espionage or national security laws.

7. Disclaimers

JABN WEBSITE CONTAINS CONTENT, LINKS AND OTHER INFORMATION SUBMITTED BY THIRD PARTIES OVER WHOM JAH HAS NO CONTROL OR RESPONSIBILITY. 8. Applicable Law and Arbitration

With respect to any and all disputes arising out of or in connection with JABN website or these terms and conditions, JAH and Member agree to negotiate in good faith and undertake reasonable efforts to cooperate with one another in order to achieve a mutually satisfactory resolution. JAH has no obligation to become involved in any dispute between a Member and any other person. JABN website, these terms and conditions and any dispute arising in connection therewith shall be exclusively governed by and construed in accordance with the laws of Republic of Singapore without regard to its conflict of law principles.
